General Power of Attorney Format India — GPA Sample
General Power of Attorney (GPA) format for India granting broad authority to an agent to act on behalf of the principal in property, financial, and legal matters.
# General Power of Attorney Format India — GPA Sample
A Power of Attorney (POA) is a legal document by which one person (the Principal or Grantor) authorises another person (the Agent, Attorney, or Donee of Power) to act on their behalf. A **General Power of Attorney (GPA)** grants broad, comprehensive powers across multiple categories — property matters, financial transactions, legal proceedings, and business affairs — as opposed to a Special Power of Attorney which is limited to a specific transaction.
The Power of Attorney Act, 1882 and various state stamp acts govern the execution and registration of POAs in India. A GPA is typically used when the Principal is unable to be physically present (due to being abroad, illness, or other reasons) or wants to authorise a trusted person to manage their affairs comprehensively.
**Critical Note:** Since 2011, the Supreme Court in Suraj Lamp & Industries Pvt. Ltd. v. State of Haryana held that a GPA cannot be used as a mode of transferring immovable property in lieu of a registered sale deed. A GPA can authorise the agent to execute a sale deed, but the sale deed itself must be separately registered.
This is for informational purposes only and does not constitute legal advice. Always consult a qualified advocate before executing a GPA, especially for property transactions.

Key Elements Explained
**Principal and Agent Details**
Both parties must be identified fully — legal name, age, parentage, address, and identity proof number. For NRI Principals executing a POA abroad, the POA must be attested by the Indian Consulate/Embassy or a Notary Public in that country and then stamped/adjudicated in India after arrival.
**Scope of Powers**
A GPA grants broad powers across property, financial, legal, and general affairs. Each specific power should be clearly enumerated. Vague grants of "all powers" without specification can create disputes. Be thorough but precise.
**Consideration**
A POA may be executed for love and affection (no consideration) or for a nominal or real consideration. State whether consideration is involved.
**Revocability**
Most POAs are revocable — the principal can cancel them. An irrevocable POA (coupled with interest) is possible only when the agent has an interest in the subject matter and the POA is given to protect that interest (e.g., a mortgagee holding a POA). Irrevocable POAs require careful drafting.
**Ratification Clause**
This clause binds the principal to all acts done by the agent within the scope of the POA, providing legal protection to third parties who transact with the agent.

Important Notes
**Registration Requirements**
A GPA for immovable property transactions (sale, mortgage, lease over 11 months, gift) **must be registered** under the Registration Act, 1908. Unregistered POAs relating to immovable property are not admissible as evidence of the power claimed. Stamp duty and registration fees apply.
**Stamp Duty**
Stamp duty on POAs varies by state. In Maharashtra, stamp duty for a POA is prescribed under the Bombay Stamp Act. For a POA relating to immovable property, higher stamp duty applies. Check the current stamp duty schedule in your state.
**NRI Execution**
If the principal is abroad, the POA can be executed before the Indian Consulate/Embassy or a local Notary Public. Upon arrival in India, it must be adjudicated (stamped) at the Collector's office within 3 months of arriving in India. Registration is separate.
**GPA Cannot Transfer Property**
Following the Supreme Court's 2011 ruling in Suraj Lamp, a GPA (even a registered one) cannot substitute for a registered sale deed. The agent can execute a sale deed using the GPA, but the sale deed itself must be registered separately.
**Age and Mental Competence**
The Principal must be a major (18+ years) and of sound mind to execute a valid POA. A POA by a minor or an incompetent person is void.

FAQ
**Q1. Can a General Power of Attorney be used to sell property in India if I am abroad?**
Yes — a GPA can authorize your agent in India to execute a sale deed on your behalf. However, the GPA itself should be registered in India, and the resulting sale deed must also be separately registered by the agent (using the POA). The GPA cannot substitute for or bypass the registration of the sale deed itself.
**Q2. What happens to a GPA if the principal dies?**
A Power of Attorney — general or special — automatically becomes void on the death of the principal. Any acts done by the agent after the principal's death are void and not binding. This is a fundamental rule under the law of agency. If the principal dies, the agent must stop acting under the POA immediately.
**Q3. How do I revoke a General Power of Attorney?**
Revoke the GPA by executing a formal Deed of Revocation, notarised and/or registered (if the original GPA was registered). Send notice of revocation to the agent by registered post. If the original GPA was registered, get the revocation also registered with the same Sub-Registrar to give public notice. Notify banks, government offices, and third parties who may have acted on the GPA.
